Terms of Service & Cooperation Agreement

Professional terms governing our partnership with global procurement managers and project contractors. Effective from January 2024.

1. Cooperation Scope

Applicable range and target customers for our manufacturing services

Target Customers

Global brand owners with annual purchase volume ≥ $3M
Infrastructure project contractors (bridges, buildings, terminals)
Wholesale distributors in medical, automotive, electronics
OEM/ODM partners requiring long-term supply agreements

Metal Wire Types

Stainless steel (304, 316L, 310S), Copper (brass, phosphor bronze), Galvanized iron, Spring wire, Steel wire rope

Specifications

Diameter: 0.03mm-5.0mm | Tolerance: ±0.01mm | Custom surface treatments available

2. Order Rules

Minimum quantities, payment terms, and delivery schedules

MOQ Requirements

• Standard products: 500kg minimum
• Custom specifications: 1 ton minimum
• Special materials (316L, 310S): 2 ton minimum
• Mixed orders accepted for established customers

Payment Terms

• New customers: 30% advance + 70% before shipment
• Established customers: 30-60-10 progress payment
• Long-term contracts: Net 30 terms available
• LC at sight accepted for orders ≥ $50K

Delivery Schedule

• Samples: 3-5 working days
• Standard orders (≤10 tons): 10-15 days
• Large orders (10-50 tons): 15-25 days
• Custom specifications: 20-30 days

3. Customization Terms

Sample development, tooling costs, and intellectual property arrangements

Note: Sample fees refunded upon order confirmation ≥ 5 tons

Tooling & IP Rights

Tooling ownership: Customer retains rights after full payment of tooling costs
Exclusive production: Available for orders ≥ $100K annual commitment
IP protection: NDA signed for all custom developments
Technical data: Specifications remain confidential to customer

Development Timeline

Custom product development typically requires 15-30 days from specification finalization to first sample delivery.

4. Quality Assurance & After-sales

Certified Compliance

ISO 9001, CE, AWS, RoHS, REACH

Warranty Terms

Standard warranty: 12 months from delivery date
Extended warranty: 24 months available for premium products
Claim period: Quality issues must be reported within 30 days of receipt
Resolution: Replacement or credit within 15 working days

Arrival Inspection

7-day inspection period upon delivery with photo/video evidence

5. Liability & Dispute Resolution

Breach of contract consequences and conflict resolution mechanisms

Customer Breach

• Payment delay >30 days: 1.5% monthly penalty
• Order cancellation after production: 30% compensation
• Specification changes after confirmation: additional costs apply

Supplier Breach

• Delivery delay: 0.5% daily penalty (max 10% order value)
• Quality non-conformance: full replacement + shipping costs
• Force majeure events: mutual agreement on timeline adjustment

International Chamber of Commerce (ICC) mediation

Legal Framework

Governing law and jurisdiction for international transactions

Governing Law

Contracts governed by Singapore law for international transactions, Chinese law for domestic transactions.

Language & Currency

English as official contract language. USD for international transactions, RMB for domestic.
